Terms and Conditions
Agreement between the parties
These Terms and Conditions of Service ("T&Cs") govern the relationship between you ("Client") and Blue Cells srl ("Company"). By engaging the services of the Company, the Client agrees to be bound by these T&Cs.
1. Services Provided
The Company will provide search engine optimization (SEO) services, which may include, but are not limited to, on-page optimization, off-page optimization, keyword research, content strategy, technical SEO audits, and reporting. The specific scope of work will be outlined in a separate service agreement or proposal.
2. No Guarantee of Results
The Client acknowledges and agrees that due to the dynamic and constantly evolving nature of search engine algorithms, the Company cannot and does not guarantee specific rankings, traffic levels, or conversions. The Company's services are performed on a best-effort basis, and the Client understands that SEO is an ongoing process with no guaranteed outcomes. The Company is not responsible for any changes in search engine rankings, traffic, or other metrics that may occur due to algorithm updates, competitor actions, or any other factor outside of the Company's control.
3. Client's Responsibilities
The Client agrees to provide all necessary access, information, and cooperation required for the Company to perform its services, including but not limited to: access to the website's CMS, Google Analytics, and Google Search Console; providing timely feedback and approval on content and recommendations; and refraining from any activities that could negatively impact the SEO campaign, such as engaging in spammy linking practices.
4. Limitation of Liability
In no event shall the Company be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to, damages for loss of profits, goodwill, or data, arising out of the use or inability to use the services. The Client's sole remedy for any dissatisfaction with the services is to terminate the service agreement.
5. Governing Law
This agreement shall be governed by and construed in accordance with the laws of Italy. Any disputes arising under these T&Cs shall be resolved in the courts of Italy.
